1. Acceptance of Terms
By accessing the website or utilizing the services of Texas Vanguard Revenue Systems (TVRS) LLC (“Company”), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a medical practice or entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Services
TVRS provides AI-enhanced revenue cycle management, medical billing, and accounts receivable recovery services. Our services utilize Augmented Intelligence (AI) to assist in coding and denial analysis; however, all final billing determinations are subject to human oversight.
3. Professional Responsibility Disclaimer
Coding Accuracy: While TVRS provides coding assistance, the Client (Healthcare Provider) remains solely responsible for the accuracy of clinical documentation. TVRS does not provide medical advice or determine the medical necessity of services rendered.
Provider Sign-Off: The Client agrees that they are the final authority on all claims submitted under their National Provider Identifier (NPI).
4. Use of Artificial Intelligence
Non-Public AI: TVRS utilizes enterprise-grade AI (Azure OpenAI) within a HIPAA-compliant environment.
Algorithm Limitation: AI is used as a tool to identify patterns and suggest codes. The Client acknowledges that AI may occasionally produce "hallucinations" or errors, and TVRS maintains a "Human-in-the-Loop" protocol to mitigate these risks. TVRS is not liable for errors arising from unverified AI suggestions if the Client has bypassed standard review protocols.
5. Limitation of Liability
To the maximum extent permitted by Texas law, TVRS LLC shall not be liable for any indirect, incidental, or consequential damages (including lost profits or recoupments resulting from payer audits) arising from the use of our services. Our total liability for any claim shall not exceed the total fees paid by the Client to TVRS during the six (6) months preceding the event giving rise to the claim.
6. Indemnification
The Client agrees to indemnify and hold harmless TVRS LLC and its members from any claims, penalties, or legal fees resulting from:
Inaccurate clinical data provided by the Client.
Intentional upcoding or fraudulent documentation by the Client’s staff.
Third-party audits by CMS or private payers.
7. Termination
Either party may terminate the service agreement with thirty (30) days' written notice. Upon termination, TVRS will provide the Client with final billing reports, provided all outstanding service fees have been settled.
8. Governing Law
These terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Comal County, Texas.
